Setting up the legal structure for Rymco SAL in relation to its expansion plan in the UK, in order to minimize tax exposure, drafting the Umbrella agreement and center agreements with Nissan International SA governing the establishment of three dealerships in Reading, West London and North London, and finalizing all agreements for the purchase and lease of the required sites. Advising the equity and debt offering transaction documents to finance the UK venture as well as the required shareholders’ agreements with the new investors. |
